Referral Program Terms and Conditions

The U Group & Co Limited (ABN 68 610 817 831) (referred to herein as "Company", "ReceiptJar", "OláNota", "We", or "Us") may offer registered users of a ReceiptJar or OláNota account (“Referrer” or “you”) the opportunity to participate in our referral program (the “Program”) and earn points by inviting your friends or followers to use the ReceiptJar or OláNota mobile application (each, the “App”). These Referral Program Terms and Conditions (“Terms”) govern your participation in the Program.

1. BINDING AGREEMENT. By participating in the Program, you indicate that you accept and agree to be bound by these Terms as well to comply with any other terms contained elsewhere on the App.
    
2. REFERRAL PROGRAM ELIGIBILITY. To be eligible to participate in the Program as a Referrer, you must be at least 18 years old. 
   
   
3. HOW THE REFERRAL PROGRAM WORKS. Using the App, you can access a referral code (“Referral Code”). You can simply copy and share your Referral Code with friends, family members, or colleagues whom you personally know (“Friends”). You may not post your Referral Code to a website or social media account for commercial purposes unless you qualify as a Qualified Influencer in accordance with Section 4 below.
   
   
4. INFLUENCERS REFERRAL. If you produce content on a social media platform (“Platform”) and have at least 1,000 followers (“Followers”) on a Platform, you are considered a “Qualified Influencer.” If you are a Qualified Influencer, you can share your Referral Code with your Followers and tell them about the App through your Platform content. If you do not meet the conditions for being a Qualified Influencer, you are prohibited from posting your Referral Codes to a website or social media site for commercial purposes. If we believe that a Referral Code associated with a Referrer’s account was used in violation of this Section 4, we will delete all credit associated with that account and remove the Referrer from the App.
   
   
5. TO ACTIVATE A REFERRAL. You may refer as many Friends or Followers as you want throughout the entirety of the Program. Once any individual that you refer enters the Referral Code to create a ReceiptJar or OláNota account (a “User”), you and the User may be eligible to earn points in accordance with Section 7 below.
   
   
6. RESTRICTIONS. Referrers cannot refer themselves or create multiple, fictitious, or fake accounts with the Company. No Referrer may use the Program to violate any law, infringe or violate the rights of any third party, or otherwise act in a manner that is deemed harassing, harmful, illegal, hateful, obscene, or outside the spirit and intent of the Program. In addition, a Referrer may not (i) tamper with the Program, (ii) act in an unfair or disruptive manner, or (iii) use any system, bot, or other device or artifice to participate or receive any benefit in the Program.
   
   
7. INCENTIVES. By making a Valid Referral (defined below), you will receive 50 points (each, a “Referral Reward”), subject to the restrictions set forth below. In order to qualify as a “Valid Referral”, your Friend or Follower must not be an existing User of the App and must be a first-time User of the App as a result of your referral. For both parties to receive the Referral Reward, your Friend or Follower must first enter your Referral Code, then upload more than one valid receipt to the App. Referral Rewards are subject to verification; we may delay a Referral Reward for the purposes of such verification. We may also decline to verify and process any referral for any reason. Referral Rewards are not transferable and may not be auctioned, traded, bartered, or sold.
   
   
8. RIGHT TO CANCEL, MODIFY, OR TERMINATE. We reserve the right to cancel, modify, or terminate the Program at any time for any reason. We reserve the right to disqualify you at any time from participation in the Program if we have a good faith belief that you have violated any of these Terms.
